Board of Directors
GUIDLINE FOR SELECTING PANITA BOD MEMBERS
PANITA BOD of Directors is the key governance organ of the partnership, appointment of BOD members is clearly stipulated by article 23 of the MEMART “There shall be a Board of Directors appointed by the Annual General Meeting. Unless otherwise determined by the Annual General Meeting or an extra ordinary meeting of the Company, the number of Directors who shall constitute the Board of Directors shall not be less than five”.
Article 24 states that, the names of the members of the Board of Directors of the company shall be determined in writing by the Annual General Meeting or any an extra-ordinary meeting of the company and the tenure shall be two years capable of being re- elected once.
The MEMART clearly stipulate that the AGM has the mandate in appointment of the BOD members. Article 7 states that “There shall, in each calendar year, be held a company’s Annual General Meeting (AGM)”. In such cases whereby, the vacant seat of a BOD member need to be filled up before that year’s AGM, It was therefore agreed during the 4th BOD meeting that, PANITA members will create a reserve list of prospects for the open seats.
CRITERIA FOR SELECTION OF BOD MEMBERS
According to MEMART Article 25, “The Company’s Board of Directors shall be composed of a minimum of five members who shall be appointed on their individual capacities.” Given the importance of the BOD members in guiding towards the fulfilling the vision of the partnership, and due to the fact that the MEMART has not expounded the criteria for selection of BOD members, the following are the suggested qualities that PANITA secretariat has decided to give to members for nominating of BOD members.
Qualities
- An individual whose professional experiences and skill sets will be of add value to PANITA
- Have understanding of our partnership and its needs and envision in contributing to the organization
- Passion for PANITA cause, that is to fight malnutrition in our country
- Willingness to commit time for board meetings, committee meetings, planning sessions, special events
- Team player - works well in a group
- Someone who listens well, is thoughtful in considering issues
- A person with no conflicts of interest with PANITA
- Should be of sound mind and visionary
- Above 35 yrs of age and not more than 85 yrs.
